Why Does My Solo 401k EIN Matter for Private Equity K-1s?

I have three numbers they could use — my personal SSN, my S-Corp EIN, and my Solo 401k EIN. Which one do I give them, and what happens if I give them the wrong one?

May 22, 2026 at 3:03 pmThis is one of the most critical compliance points for self-directed Solo 401k real estate and private equity investing: when a partnership or syndication issues a Schedule K-1 to a Solo 401k investor, the K-1 must be issued using the Solo 401k plan’s EIN — not the participant’s personal SSN and not the business EIN.
The consequences of getting this wrong:
- If the K-1 is issued to the participant’s personal SSN, the IRS may treat the investment income as personal taxable income — bypassing the tax-advantaged retirement structure entirely and creating unnecessary tax liability and IRS inquiries
- If the K-1 is issued to the S-Corp EIN, the income is attributed to the business — not the retirement trust — again compromising the plan’s tax-advantaged status and creating significant IRS confusion
- Only a K-1 issued to the Solo 401k plan’s EIN correctly identifies the retirement trust as the investor — preserving tax-deferred (or tax-free, if Roth) treatment of the income
Before any K-1 is issued by a syndication or private equity deal, provide the deal sponsor with the Solo 401k plan’s EIN in writing — clearly labeled as the “Retirement Plan EIN” — and request that all K-1s be issued accordingly. Correcting a K-1 after filing is time-consuming and creates unnecessary scrutiny.
